These Official Rules govern participation in the UPNEXT: THE RISE Music Vertical. By submitting a completed application, each Artist agrees to comply with these Rules and applicable program requirements.

1. PROGRAM OVERVIEW

UPNEXT: THE RISE (the “Rise” or “Program”) is a career accelerator program with competition built into the experience. The Music Vertical is designed to help eligible emerging artists strengthen their artistry and brand, grow and engage their community, develop the business behind their career, and compete for advancement, cash awards and career-development opportunities.

The Music Vertical launched September 7, 2026 and operates through a rolling enrollment model. The competitive journey may include qualification, Top 200, Top 100, Top 50, Top 24, Top 12, the NYC Finale and the Rise Awards.

The Rise is powered by ATRX NEXTGEN. Where these Rules refer to “The Rise” or “ATRX NEXTGEN,” those references include the applicable program operator and authorized personnel administering the Program.

2. ELIGIBILITY

To participate in the Music Vertical, an Artist must satisfy all applicable eligibility requirements at the time of application and throughout participation.

Age. Every participating Artist must be at least 18 years old.

Location. Every participating Artist must be based in the United States or Canada.

Solo Artists and Groups. Individual artists, bands, groups and other eligible multi-member music acts may participate.

Group Members. Every registered and participating member of a group must independently satisfy the age and location requirements.

Representation. Artists may be independent or professionally represented, including by management, agencies, independent labels or Creator Networks, subject to the major-label eligibility provisions below.

Human-Led Artists. The participating Artist must be an authentic human artist or human-led group. AI-generated or virtual artists are not eligible.

The Rise may request reasonable information or documentation to verify eligibility. Failure to provide requested verification may result in an application being deemed incomplete, an Artist being found ineligible, or advancement or an award being withheld pending verification.

3. MAJOR LABEL & DISTRIBUTION ELIGIBILITY

Artists currently signed to a major-label recording arrangement that provides substantial major-label-funded career support are not eligible to participate.

However, having music distributed through a major record company or a major-affiliated distribution company does not automatically make an independent Artist or band ineligible.

Independent Artists and Artists signed to independent labels with major-company or major-affiliated distribution arrangements may remain eligible when the Artist is still substantially responsible for developing, funding and growing the Artist’s own career, including marketing, promotion, content, audience development and career strategy.

The Rise may review an Artist’s recording, label and distribution relationships and make a final eligibility determination based on the nature and level of support being provided. The purpose of this provision is to distinguish major-label career infrastructure from distribution access alone.

4. AI USE & ARTIST AUTHENTICITY

AI-generated or virtual artists may not participate as the competing Artist.

Eligible Artists may use artificial intelligence as an assistive tool in their creative and career-development process, including to assist creativity, marketing, branding and promotional materials, provided the Artist’s identity and participation remain authentic and human-led.

Artists remain responsible for ensuring that materials they submit or use comply with applicable law, third-party rights, platform rules and these Official Rules.

5. HOW TO ENTER

The Music Vertical uses rolling enrollment. To enter, an eligible Artist must complete the required Music application, provide the requested application materials and pay the $100 Music Vertical application fee.

An application is considered completed when the required application information and materials have been submitted and the applicable fee has been successfully received, subject to any verification reasonably required by The Rise.

Submission of an application does not guarantee qualification, advancement, selection for a particular event or receipt of a prize.

6. APPLICATION FEE & REFUND POLICY

The Music Vertical application fee is $100 and is non-refundable.

The fee provides entry into the career accelerator and access to applicant resources, experiences and benefits associated with the Music Vertical. Paying the application fee does not purchase advancement, favorable judging, additional votes, preferential treatment or a better competitive position.

You pay to enter the career accelerator. You cannot pay to advance in the competition.

7. NO REQUIRED ARTIST, RECORDING, DISTRIBUTION OR MANAGEMENT CONTRACT

Artists do not have to sign a recording agreement, distribution agreement, management agreement or long-term artist contract with The Rise or ATRX NEXTGEN in order to enter or participate in the Program.

Winning The Rise does not automatically require or result in a recording or distribution agreement.

Artists retain their existing representation and remain free to make their own career decisions, subject to these Official Rules and any reasonable requirements applicable to a specific Rise opportunity, event or award.

Nothing in this section prevents The Rise from requiring administrative, prize, tax, travel, safety, venue or event-specific documents that are reasonably necessary to administer a particular Program activity. Such documents do not, by themselves, create a recording, distribution, management or long-term artist relationship.

8. COMPLETED APPLICANT BENEFITS

Every completed Music applicant receives access to the Music Vertical career-accelerator experience and its applicable applicant resources, which may include:

A scheduled Zoom session with industry experts who have a proven track record of success;

The Rise Artist Desk App;

The Rise Artist Playbook;

The Rise Artist Toolkit;

The Beat Bucket, providing access to curated original tracks with no upfront track fee, subject to applicable songwriting, copyright, publishing and commercial-release terms; and

An exclusive Rise Artist discount for professional song mixing.

Applicant resources and participating professionals may evolve during the Program. Unless expressly stated otherwise, receipt of applicant benefits does not guarantee advancement.

9. GUARANTEED INDUSTRY ZOOM ACCESS

Every completed Music applicant is guaranteed access to a scheduled Zoom session with industry experts who have a proven track record of success.

The session gives experts an opportunity to hear from the Artist, learn about the Artist’s music, understand where the Artist is in the Artist’s career and identify where the Artist wants to go. The session is intended to provide real-world perspective and constructive feedback that can help identify areas for growth and prepare the Artist for the next stage of the Artist’s career.

Professionals may come from music, social media, marketing, branding and the creator economy. This industry access is part of the Rise experience regardless of whether the Artist ultimately advances in the competition.

10. QUALIFICATION & ADVANCEMENT

The foundation of the Music Vertical is:

CREATIVITY | BUSINESS | COMMUNITY

Artists may be asked to complete qualifying questions, challenges, content, business-development activities, community-building activities and other Program requirements designed to evaluate development and execution across these areas.

The anticipated advancement journey is:

APPLY → QUALIFY → TOP 200 → TOP 100 → TOP 50 → TOP 24 → TOP 12 → NYC FINALE → RISE AWARDS

As Artists move deeper into The Rise, industry evaluation, music performance, LIVE engagement, monetization and audience support become increasingly important parts of the advancement process.

No single metric determines advancement.

11. EVALUATION & JUDGING

The Rise evaluates the full picture of an Artist’s development and execution, not simply the Artist’s music or stage performance. Depending on the stage of the Program, evaluation may consider:

Creativity - quality, originality, artistic development and execution;

Business - brand development, career strategy, professionalism and business execution;

Community - the ability to build, engage and activate an authentic audience;

Industry Evaluation - professional assessment, feedback and career readiness;

Music Performance - artistry and the ability to connect through music;

LIVE Engagement - real-time communication, consistency, audience connection and community building;

Monetization - the ability to convert authentic engagement into measurable support and revenue; and

Audience Support - the ability to mobilize and engage an authentic community.

Having the largest following, generating the most revenue or entering with an already-established audience does not automatically justify advancement. Growth, execution, consistency, engagement and community activation matter.

THE RISE MEASURES WHAT YOU DO WITH WHAT YOU HAVE.

12. FINAL-STAGE JUDGING FRAMEWORK

For the final stage of the Music Vertical, the intended judging framework is:

20% - Rise Performance: Creativity, business, community, challenges and execution.

20% - Industry Evaluation.

20% - Music & LIVE Performance: Music performance, consistency, engagement, audience connection and growth.

20% - Monetization.

20% - Audience Vote.

The Rise may use stage-appropriate evaluation methods before the final stage. Any material scoring or advancement requirements applicable to a stage will be communicated to participating Artists before or during that stage as reasonably necessary to administer the Program fairly.

13. AUTHENTIC FOLLOWERS, ENGAGEMENT & METRICS

The Rise is designed to measure authentic community growth, engagement and career development.

Purchasing followers, using bots, artificially generating engagement, manipulating audience metrics, votes, LIVE activity or monetization, or using other deceptive methods to inflate competitive metrics may be grounds for disqualification.

The Rise may review unusual or suspicious activity and may request information reasonably necessary to evaluate the authenticity of relevant metrics. An Artist may be given an opportunity to respond where practical, except where immediate action is reasonably necessary to protect the Program, other participants, partners, the public or the integrity of an event.

14. SOCIAL PLATFORM & LIVE PARTICIPATION

Certain stages of The Rise may include social-platform content, LIVE participation, audience engagement and monetization activities. Artists are responsible for complying with the applicable terms, community guidelines and policies of any platform they use.

Platform outages, account restrictions, technical failures or third-party platform decisions may be outside the control of The Rise or ATRX NEXTGEN. The Rise may make reasonable adjustments when a material platform or technical issue affects Program administration.

Participation in The Rise does not require an Artist to join ATRX NEXTGEN, ATRX Agency, a TikTok agency or any Creator Network, and does not require an Artist to change existing representation.

15. TIKTOK & THIRD-PARTY PLATFORM INDEPENDENCE

Unless expressly announced through an authorized written partnership, UPNEXT: THE RISE is not sponsored, endorsed, administered by or owned by TikTok or any other social-media platform merely because Program activities occur on that platform.

Any relationship between ATRX and a social-media platform is separate from an Artist’s participation in The Rise. Platform names and trademarks remain the property of their respective owners.

16. GROUPS, BANDS & MULTI-MEMBER ACTS

A registered group, band or multi-member act is treated as one participating Artist/Entry for advancement, judging and awards.

Each group must designate one authorized representative to serve as the primary administrative and prize-related contact. The designated representative must be authorized to communicate and act on behalf of the group for Program administration.

If a group receives a cash award, the advertised prize amount applies to the group collectively and is not multiplied by the number of members. The Rise is not responsible for determining or enforcing how group members divide prize proceeds.

A winning group may designate one eligible payee, either a recognized group/business entity or an authorized representative, subject to required verification and tax documentation.

17. GROUP MEMBERSHIP CHANGES

Groups are expected to participate substantially as the same act that originally applied. A membership change does not automatically disqualify a group.

Groups must promptly disclose material membership changes. The Rise may review whether the act remains substantially the same Artist/Entry that originally entered and may approve reasonable membership changes without affecting eligibility or advancement.

If a group breaks up, substantially changes its identity or can no longer continue as the entered act, The Rise may determine whether remaining members may continue, whether the Entry must be withdrawn, or whether an earned opportunity or award may continue.

If a first-place group breaks up or materially changes during the Career Accelerator period, The Rise may review the circumstances and determine whether and how remaining package benefits may continue.

18. COMMERCIAL OPPORTUNITIES FACILITATED BY THE RISE

The Rise may introduce or facilitate additional commercial opportunities for participating Artists, including brand partnerships, endorsements, paid performances and other professional opportunities.

When The Rise or ATRX NEXTGEN directly facilitates a commercial opportunity, a 10% agency/facilitation fee may apply to that specific transaction.

Where commercially possible, the intention is for the 10% fee to be structured above the Artist’s negotiated compensation and paid by the brand, producer, promoter or other contracting party rather than deducted from the Artist’s compensation.

Any applicable fee and compensation structure will be disclosed to the Artist before the Artist accepts the opportunity. Artists remain free to accept or decline a separately offered commercial opportunity unless participation in a particular activity is an expressly disclosed Program requirement.

19. BRAND PARTNERSHIPS & ENDORSEMENT DISCLOSURES

Artists participating in sponsored content, endorsements, brand partnerships or other compensated promotional activities facilitated through The Rise are responsible for complying with applicable advertising, endorsement and disclosure requirements.

Where required, material relationships with brands must be disclosed clearly and appropriately in the applicable content or LIVE environment. Artists must also comply with reasonable brand-safety and campaign requirements disclosed for the applicable opportunity.

20. CASH AWARDS

The Music Vertical includes $50,000 in total cash awards:

1st Place - $25,000

2nd Place - $12,500

3rd Place - $7,500

Honorable Mention - $5,000

The 1st Place Artist also receives a Career Accelerator Package valued up to $250,000, as described below.

Cash award amounts are per winning Entry. A group winning 1st Place receives one $25,000 cash award collectively, not $25,000 per member.

21. WINNER VERIFICATION & CASH PAYMENT

Cash awards will be paid to eligible, confirmed winners within 30 days after the conclusion of the Music Finals, subject to verification and completion of required tax, identity, eligibility and prize-acceptance documentation.

A winner is responsible for providing accurate payment and tax information. Taxes, reporting obligations and other governmental charges arising from a prize are the responsibility of the recipient except where applicable law requires otherwise.

The Rise may withhold payment while a material eligibility, fraud, identity or documentation issue is being reasonably investigated or resolved.

22. FIRST-PLACE CAREER ACCELERATOR PACKAGE

The 1st Place Artist receives a service-based Career Accelerator Package valued up to $250,000. The package is not a $250,000 cash prize and is not redeemable for cash.

The anticipated activation framework is:

Within 30 days after the Finals - onboarding, career assessment and goal/strategy review;

Within 60 days - an individualized Career Accelerator Plan is finalized;

Within 90 days - implementation begins; and

Over a 12-month activation period - approved services, resources and support are delivered based on the Artist’s plan, needs, progress and applicable opportunities.

“Valued up to $250,000” means the maximum aggregate value of approved services, resources and support that may be made available through the package. The actual mix and value of services may vary based on the winning Artist’s needs and individualized plan.

The winning Artist is expected to remain in good standing and actively participate in agreed career-development benchmarks, which may include content creation, audience growth and engagement, LIVE participation, monetization, music releases, professional development, scheduled meetings and agreed initiatives.

The Rise invests in the Artist, and the Artist remains committed to doing the work required to move the Artist’s career forward.

For a winning group, the Career Accelerator Package is awarded to the act collectively and is designed around the career-development needs of the group as a whole. It is not multiplied by the number of group members.

23. TOP 12 NYC FINALE - TRAVEL & HOTEL

Artists who advance to the Top 12 NYC Finale will receive designated standard travel and hotel accommodations provided by The Rise / ATRX NEXTGEN.

Top 12 Artists will not be required to pay for the standard travel and hotel accommodations expressly provided by The Rise for the NYC Finale.

For a band or group, The Rise will provide designated standard travel and hotel accommodations for all officially registered and approved participating group members who qualified as part of that Entry.

Coverage does not extend to managers, agents, representatives, entourage members, guests, additional touring personnel or other individuals who are not officially registered participating members of the qualifying Entry.

Artists are responsible for optional upgrades, hotel incidentals, personal purchases and any other expenses not expressly identified as being covered by The Rise.

Travel arrangements, accommodations, schedules and covered expenses will be communicated to qualifying Artists before the NYC Finale.

24. LIVE & IN-PERSON ACTIVITIES

Participation in The Rise may include online and in-person activities such as community activities, industry sessions, rehearsals, LIVE broadcasts, performances, pop-up concerts, meet and greets, promotional appearances, the Rise Bus Tour, the NYC Finale and other Rise-related experiences.

Artists are responsible for acting safely and professionally and for following applicable laws, venue requirements, transportation rules, event procedures and reasonable safety instructions provided by The Rise, ATRX NEXTGEN, participating venues, transportation providers, production personnel or event partners.

Artists are responsible for their own conduct and personal property brought to Rise activities. The Rise may remove an Artist from an activity when the Artist’s conduct creates a safety concern, materially disrupts an event or places other participants, staff, partners or members of the public at unreasonable risk.

25. COMMUNITY ACTIVITIES & MEET AND GREETS

The Rise may create opportunities for Artists to engage directly with fans, communities, businesses and members of the public.

Artists acknowledge that The Rise and ATRX NEXTGEN cannot control the actions of every third party encountered during public-facing activities, including audience members, fans, venue patrons or other members of the public.

Artists should not be required to participate in an interaction that they reasonably believe presents an immediate threat to their personal safety. Artists should promptly report material safety concerns to authorized Rise personnel when practical.

26. EVENT-SPECIFIC PARTICIPATION & LIABILITY RELEASES

Participation in certain live or in-person Rise activities, including applicable pop-up concerts, community events, meet and greets, the Rise Bus Tour, the NYC Finale and other physical events, may require Artists to complete a separate event-specific participation and liability release before participating.

Such releases may address transportation, accommodations, venue requirements, safety procedures, filming and recording, emergency information and other requirements specific to the applicable event.

An event-specific release is not a recording, distribution, management or long-term artist agreement with The Rise or ATRX NEXTGEN.

Failure to complete a required event-specific release may prevent an Artist from participating in that particular activity. For major travel activities, including the Rise Bus Tour and NYC Finale, required releases may be required before travel is finalized.

27. ASSUMPTION OF RISK & LIMITATION OF LIABILITY

By voluntarily participating in a Rise activity, an Artist acknowledges that live events, public appearances, performances, rehearsals, community activities, travel, transportation and interaction with members of the public may involve ordinary and reasonably foreseeable risks that cannot be completely eliminated.

To the fullest extent permitted by applicable law, each Artist voluntarily assumes the ordinary and reasonably foreseeable risks associated with the Artist’s participation in such activities.

To the fullest extent permitted by applicable law, Artists agree to release and hold harmless The Rise, ATRX NEXTGEN, the applicable Program operator, and their participating partners, affiliates, sponsors, venues, event producers, contractors, transportation providers, representatives, officers, directors, employees and agents from claims arising from or relating to participation in Rise-related activities, including claims involving personal injury, illness, property loss or damage, delays, cancellations, third-party conduct or other incidents associated with participation, except to the extent a claim or liability cannot legally be waived or limited.

Nothing in these Official Rules is intended to waive or limit any right or liability that cannot legally be waived or limited under applicable law.

28. THIRD-PARTY VENUES, TRANSPORTATION & SERVICES

Certain Rise experiences may be produced, hosted, transported, accommodated or supported by independent venues, promoters, transportation providers, hotels, production companies, brands or other third parties.

Participation may be subject to reasonable safety requirements, venue policies, releases or participation requirements imposed by those third parties.

The Rise and ATRX NEXTGEN do not control and cannot guarantee the acts, omissions, availability or performance of independent third-party service providers. Nothing in these Rules limits any rights an Artist may have directly against a third party under applicable law.

29. EMERGENCIES

In an emergency involving an Artist during an official Rise activity, ATRX NEXTGEN or authorized production personnel may contact emergency services or take other reasonable steps considered necessary to address an immediate health or safety situation.

Medical evaluation and treatment remain the responsibility of appropriately qualified medical professionals. Artists may be required to provide reasonable emergency-contact information for travel or in-person activities.

30. ARTIST OWNERSHIP & PROGRAM USE OF CONTENT

Artists retain ownership of their music, recordings, publishing interests and original content, subject to any pre-existing third-party rights or agreements.

By submitting materials to or participating in The Rise, the Artist grants The Rise and ATRX NEXTGEN a non-exclusive, royalty-free license to use, reproduce, display, perform, edit for length or format, distribute and otherwise use the Artist’s submitted materials, approved artist name, likeness, voice and Rise-related performance or participation footage solely for purposes reasonably connected to administering, documenting, broadcasting, publicizing and promoting The Rise and its related programming.

This Program-use license does not transfer ownership of the Artist’s music, master recordings, publishing or career to The Rise or ATRX NEXTGEN.

A separate agreement would be required for a materially different commercial exploitation not reasonably connected to operating, documenting, broadcasting or promoting The Rise, such as a separately commercialized recording, soundtrack or other exploitation requiring rights beyond this limited Program-use license.

31. RIGHTS TO SUBMITTED MATERIALS

Each Artist represents that the Artist has the authority necessary to submit and use the music, recordings, images, video, logos, artwork and other materials the Artist provides to The Rise, or has obtained the permissions reasonably necessary for Program participation.

Artists must not knowingly submit material that infringes another person’s copyright, trademark, publicity, privacy or other rights.

If a legitimate rights dispute arises, The Rise may temporarily remove, restrict or decline use of disputed material while the issue is reviewed.

32. BEAT BUCKET & THIRD-PARTY MUSIC TERMS

The Beat Bucket may provide eligible Artists access to curated original tracks with no upfront track fee for songwriting, recording and song-demo development.

Access to a track does not necessarily mean that all commercial-release rights are granted without additional terms. Applicable songwriting, copyright, publishing, producer, credit and commercial-release terms will be established or disclosed for the applicable track before commercial exploitation where required.

The Beat Bucket should not be interpreted as a blanket transfer of ownership or a representation that every track is royalty-free for every commercial use.

33. CONDUCT & PROGRAM INTEGRITY

Artists are expected to conduct themselves professionally and in a manner consistent with the safety, integrity and community standards of The Rise.

Grounds for corrective action, removal from an activity or disqualification may include material fraud or misrepresentation; falsification of eligibility; bot use or artificial metric manipulation; harassment, threats or violence; material violation of venue or safety rules; unlawful conduct connected to Program participation; intentional interference with another Artist or the Program; infringement or misuse of third-party rights; or other serious conduct that materially threatens Program integrity or safety.

Where practical, The Rise may provide notice of a material issue and an opportunity for the Artist to respond or correct the issue. Immediate action may be taken when reasonably necessary for safety, fraud prevention, legal compliance, event operations or protection of Program integrity.

34. DISQUALIFICATION & EFFECT ON AWARDS

If an Artist is determined to be ineligible or is disqualified before an award is finalized, the Artist may lose the applicable advancement position, opportunity or prize.

The Rise may determine an appropriate next step consistent with the Program’s advancement structure, which may include advancing another eligible Artist or leaving a position unfilled when appropriate.

Disqualification does not entitle an Artist to a refund of the application fee.

35. PROGRAM CHANGES, CANCELLATIONS & FORCE MAJEURE

The Rise may make reasonable operational changes when necessary to administer the Program, protect participants, respond to platform or venue issues, comply with law, or address circumstances beyond reasonable control.

Such circumstances may include severe weather, transportation disruption, venue cancellation, public emergency, government action, widespread illness, labor disruption, technical or platform failure, security concerns, natural disaster or other events that materially affect Program operations.

Where reasonably possible, The Rise will seek to preserve the substance and fairness of the affected stage, opportunity or award through rescheduling, relocation, substitution of a substantially comparable experience, remote participation or another reasonable adjustment.

Nothing in this section gives The Rise the unrestricted right to reduce or eliminate an earned cash award after a winner has been properly confirmed, except where required by law or where the winner is subsequently determined to have been ineligible or to have materially violated these Rules.

36. NO GUARANTEE OF CAREER OUTCOME

The Rise provides career-development resources, access, evaluation and opportunities, but does not guarantee a recording contract, distribution deal, management agreement, brand deal, employment, commercial success, audience growth, revenue level, social-platform performance or any particular career outcome.

Industry feedback and career-development guidance reflect professional perspectives and do not constitute a guarantee of future results.

37. PRIVACY & INFORMATION USE

The Rise may collect and use information reasonably necessary to administer the Program, including identity and contact information, age and location information, application materials, music and content submissions, social-account information, participation and advancement information, travel information where applicable, and information necessary to verify and pay prizes.

Information will be used for legitimate Program administration, communication, eligibility and prize verification, event operations, safety, applicant benefits and other purposes described in the applicable Privacy Policy or disclosed at the time of collection.

Artists may be asked to provide additional information for travel, emergency contacts, tax reporting or winner verification. The Rise will maintain a separate Privacy Policy for EnterTheRiseNow.com addressing collection, use, disclosure, retention and other applicable privacy practices.

38. TAXES

Winners and recipients of compensation are responsible for taxes, reporting obligations and other governmental charges associated with prizes, payments or commercial opportunities, except to the extent applicable law requires withholding, reporting or payment by another party.

The Rise may require completed tax forms or other legally required documentation before issuing a prize or payment.

39. GOVERNING LAW & MANDATORY LOCAL RIGHTS

To the extent legally permitted, these Official Rules and disputes arising from the administration of the Program will be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Nothing in these Rules is intended to waive or restrict mandatory rights, protections or remedies that cannot legally be waived under applicable federal, state, provincial or local law, including laws that may apply to eligible participants based in Canada.

40. INTERPRETATION & SEVERABILITY

If a provision of these Rules is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

Headings are provided for readability and do not limit the meaning of the provisions. The Rise may issue reasonable written clarifications necessary to administer the Program consistently, provided such clarifications do not materially undermine an Artist’s earned rights or the fairness of the competition.

42. ACCEPTANCE OF OFFICIAL RULES

By submitting a completed Music Vertical application, the Artist acknowledges that the Artist has had an opportunity to review these Official Rules and agrees to comply with them as a condition of participation.

For a group Entry, the authorized representative is responsible for ensuring that all registered group members are informed of and comply with the applicable Program requirements. Each participating member remains individually responsible for satisfying eligibility, conduct, safety and other requirements that apply personally to that member.
