1. ACCEPTANCE OF THESE TERMS

These Terms of Use (“Terms”) govern your access to and use of EnterTheRiseNow.com and related website features made available by UPNEXT: THE RISE and ATRX NEXTGEN (“The Rise,” “ATRX NEXTGEN,” “we,” “us” or “our”). By accessing or using the website, you agree to these Terms. If you do not agree, you should not use the website.

These Terms govern use of the website. Participation in a specific UPNEXT: THE RISE program or competition is governed by the applicable Official Rules and any other terms expressly identified for that program or activity.

2. OFFICIAL RULES CONTROL PROGRAM PARTICIPATION

Applications, eligibility, application fees, qualification, judging, advancement, prizes, finalist travel, disqualification and other matters relating to participation in the UPNEXT: THE RISE Music Vertical are governed by the applicable Official Rules.

If these Terms conflict with the Official Rules concerning participation in The Rise, the Official Rules control for that matter.

3. PRIVACY

Our collection, use, disclosure, protection and retention of personal information is described in the UPNEXT: THE RISE Privacy Policy.

By using the website or submitting information through it, you acknowledge that personal information will be handled as described in the applicable Privacy Policy and other notices presented at the time information is collected.

4. PERMITTED USE OF THE WEBSITE

You may use EnterTheRiseNow.com for lawful personal, professional and informational purposes related to learning about, applying to, participating in or communicating with The Rise.

You agree not to use the website in a way that violates applicable law, infringes another person’s rights, compromises website security or interferes with the operation or legitimate use of the website by others.

5. PROHIBITED CONDUCT

You may not knowingly:

Use the website for unlawful, fraudulent, deceptive or abusive activity;

Attempt to gain unauthorized access to accounts, systems, servers or information;

Introduce viruses, malware or other harmful code;

Interfere with, overload, disrupt or impair the website or its security;

Use automated tools to scrape, harvest or extract website or applicant information in a manner that is unauthorized or materially burdens the website;

Impersonate another person or misrepresent your identity or affiliation;

Submit content that you know infringes another person’s intellectual-property, privacy, publicity or other rights;

Use website content, applicant information or Program materials to harass, exploit or harm another person; or

Circumvent application, eligibility, security or Program-integrity controls.

6. WEBSITE & BRAND INTELLECTUAL PROPERTY

Unless otherwise indicated, the website and its original design, text, graphics, logos, branding, program names, page layouts, downloadable program materials and other website content are owned by or licensed to The Rise, ATRX NEXTGEN or their applicable rights holders and are protected by applicable intellectual-property laws.

You may view and use website materials for their intended personal or program-related purpose. You may not reproduce, publish, distribute, sell, commercially exploit or create unauthorized derivative works from protected website materials without permission, except as permitted by law.

Nothing in these Terms transfers ownership of an Artist’s independently owned music, recordings, publishing, likeness or original creative content to The Rise or ATRX NEXTGEN. Artist-submitted content and permissions associated with participation are governed by the applicable Official Rules, event-specific releases or separate agreements.

7. USER-SUBMITTED MATERIALS

If you submit information, music, images, video, application materials or other content through the website, you are responsible for ensuring that you have the rights and authority reasonably necessary to make that submission.

Submitting material through the website does not, by itself, transfer ownership of that material to ATRX NEXTGEN. Any license or permission needed to administer, document, broadcast or promote participation in The Rise is governed by the applicable Official Rules or other expressly applicable agreement.

8. APPLICATIONS, PAYMENTS & TRANSACTIONS

Applications and payments submitted through EnterTheRiseNow.com are subject to the applicable Official Rules and any transaction terms presented during the application or checkout process.

For the UPNEXT: THE RISE Music Vertical, the $100 application fee and its refund policy are governed by the Music Vertical Official Rules.

Payments may be processed by an independent payment processor. The availability and operation of third-party payment services may also be subject to that provider’s terms and privacy practices.

9. THIRD-PARTY LINKS & SERVICES

The website may contain links to or integrations with third-party websites, social-media platforms, payment processors, video-conferencing services, event providers or other services.

A link or integration does not necessarily mean that The Rise or ATRX NEXTGEN owns, controls or endorses the third-party service. Third-party services are governed by their own terms, policies and practices. To the extent permitted by law, we are not responsible for the independent acts, omissions, content, availability or security practices of third-party services.

10. WEBSITE AVAILABILITY & CHANGES

We may update, modify, suspend or discontinue website features when reasonably necessary for maintenance, security, legal compliance, program operations or business needs.

We do not guarantee that EnterTheRiseNow.com will always be available, uninterrupted, error-free or compatible with every device or browser. We may take reasonable steps to correct material errors or restore service when practical.

Changes to the website do not, by themselves, authorize changes to earned competition rights or confirmed prizes that are governed by the applicable Official Rules.

11. INFORMATIONAL CONTENT & NO GUARANTEE OF OUTCOME

Website content is provided for general program, career-development and informational purposes. Although we seek to keep material accurate and current, information may change as The Rise evolves.

Nothing on the website guarantees advancement, selection, a prize, a recording agreement, distribution agreement, management agreement, brand partnership, employment, audience growth, revenue, social-platform performance or any particular career outcome.

Where website copy and the applicable Official Rules differ concerning competition participation, the Official Rules control.

12. WEBSITE SECURITY

You may not attempt to bypass website security, gain unauthorized access to systems or data, introduce malicious code, interfere with website functionality or use the website to compromise another person’s privacy or security.

We may restrict or block access when reasonably necessary to protect the website, users, participants, systems or Program integrity.

13. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the website is provided on an “as is” and “as available” basis. We do not make warranties that the website will be uninterrupted, error-free, completely secure or free from every harmful component.

Nothing in these Terms excludes or limits a warranty, right or protection that cannot legally be excluded or limited.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, The Rise, ATRX NEXTGEN, the applicable website or Program operator, and their officers, directors, employees, agents and authorized service providers will not be liable for indirect, incidental, special, consequential or similar damages arising solely from use of or inability to use the website, except where such liability cannot legally be excluded or limited.

Nothing in these Terms is intended to waive or limit any right or liability that cannot legally be waived or limited under applicable law.

Risks and liability relating to participation in competitions, live activities, travel or events are addressed separately in the applicable Official Rules and event-specific participation or liability releases.

15. TIKTOK & OTHER THIRD-PARTY PLATFORMS

Unless expressly stated through an authorized written partnership, UPNEXT: THE RISE is not sponsored, endorsed, administered by or owned by TikTok or another social-media platform merely because The Rise uses or links to that platform.

Platform names and trademarks belong to their respective owners. Use of a third-party platform is also subject to that platform’s own terms and policies.

16. UNITED STATES & CANADIAN USERS

EnterTheRiseNow.com may be used by eligible individuals in the United States and Canada.

Nothing in these Terms is intended to waive or restrict mandatory consumer, privacy or other legal rights that cannot legally be waived under applicable federal, state, provincial or local law.

17. GOVERNING LAW

To the extent legally permitted, these Terms and disputes arising specifically from use of EnterTheRiseNow.com will be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

This provision does not override mandatory rights or protections that applicable law does not permit a user to waive.

18. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to the website, The Rise, our practices or applicable requirements.

When the Terms are updated, we will revise the effective date. If a change materially affects rights relating to an active competition or Program participation, the applicable Official Rules and any notice requirements under those Rules or applicable law will control.

19. SEVERABILITY & NO WAIVER

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

A failure to enforce a provision on one occasion does not automatically waive the right to enforce that provision later.
